It is expressly agreed that all activities and use of all facilities shall be undertaken by guest at guest’s sole risk. Space BAR Wellness, LLC, its affiliates, and/or its partner(s) and their authorized designees shall not be liable for any claims, demands, injuries, damages, or actions whatsoever to guest or guest’s property arising out of or connected with the use of any of the services and facilities of the facility or the grounds on which the facility is located (“Claims”). By signing below, Guest does hereby expressly forever release and discharge Space BAR Wellness, LLC, its affiliates, and/or its partners which own or lease the facility, the equipment, and the services, from all such Claims.

By acknowledging below, I verify this is my correct mobile phone number and/or email address and I consent to be contacted by Space BAR Wellness, LLC, its affiliates, and/or its partners and their authorized designees, through email, telephone, text message, or by other means, some of which may be from an automated service, as well as any other communication described in our Privacy Policy. Credits:
Membership credits will roll over indefinitely as long as you have an active membership. Banked credits are lost if you decide to cancel. If you Freeze your Membership credits will also be frozen and won't be available to book. Credits may not be transferred or converted into a Credit Pack.
Credits puchased via a Credit Pack will expire in 12 Weeks.
Payments:
Membership Payments draft every 4 weeks. You can pay conveniently through our accepted payment methods. An Additional $4 fee is added for Credit or Debit Cards. In the event you’d like to change your payment method please notify us via email and we’ll adjust your membership for your future payments.
Membership Commitment & Cancellation
We ask for an initial commitment of 12 weeks. After that, your membership will renew every 4 weeks. At that point you can cancel with a 4 week email or text notice.
** ”Grandfathered Memberships” are outside of Commitment and can be canceled with a 4 week Notice.
Appointment Cancellation:
We understand plans can change. If you need to cancel or reschedule a service appointment, please give us at least 12 hours' notice. Failing to do so will result in the loss of your service credit.
MEMBER BENEFITS:
a. Guest Discounts: As a member, you can bring guests to enjoy our services too! See suite capacity when booking. You can purchase Guest Add On Credits for your account. Bring your guest and we’ll redeem your credit at the studio.
** “Grandfathered Memberships” receive 50% off Guest Add Ons with a provided discount code through 2024. Discount code is not to be shared and may result in termination.
b. Retail Discount: We appreciate your membership, and as a token of our gratitude, you'll receive a 10% discount on all retail products we offer. It's our way of helping you enhance your wellness journey.
c. Free Amenities: Members receive free activated charcoal (reg. $5) and a packet of LMNT Electrolytes (reg. $3.50) with each appointment.
HOUSE KEEPING
Please remove your shoes upon entering the building, and place them on the rack provided in the lobby.
If listening to bluetooth in the sauna, please maintain a low volume so as not to disturb other guests.
Please wear appropriate clothing in common areas. Do not wear cotton in the cold plunges. Bathing suits are required in both common areas and private suites.
We do not recommend bringing phones or other electronic devices in the sauna, we are not responsible for any damage caused to electronics that are brought into the sauna.
BUYER’S RIGHT TO CANCEL
If you wish to cancel this contract without penalty, you may cancel it by delivering or mailing a written notice to the studio or emailing the studio at info@spacebarwellness.com. The notice must say that you do not wish to be bound by the contract and must be delivered or mailed before midnight of the third business day after you sign this contract. If you cancel within the three days, the studio will return to you within thirty days all amounts you have paid.
The buyer may also cancel under the following circumstances:
• If the buyer dies or becomes totally disabled. The disability must be confirmed by an examination of a physician agreeable to the buyer and the studio.
• If the buyer moves his or her permanent residence to a location more than twenty-five miles from the studio or an affiliated studios offering the same or similar services and facilities at no additional expense to the buyer and the buyer cancels after one year from signing the contract if the contract extends for more than one year. The studio may require reasonable evidence of relocation. If at the time of signing the contract requiring payment of an initiation or membership fee the buyer lived more than twenty-five miles from the health studio, the buyer may cancel under this subsection only if the buyer moves an additional five miles or more from the health studio.
• If the studio facilities are permanently closed and comparable facilities owned and operated by the owner are not made available within a ten-mile radius of the closed facility.
• If a facility, construction, or improvement is not completed by the date represented by the contract.
• If the contract for studio services was sold prior to the opening of the facility, the buyer may cancel within the first five business days the facility opens for use of the buyer and the studio begins to provide the agreed upon studio services.
• The buyer has a right to a refund and relief from future payment obligations after cancellation of the contract (see "CANCELLATION REFUND POLICIES").
9. BUYOUT OPTION
You may buy your way out of this agreement at anytime for any reason in accordance to the following guidelines: There will be no refunds available at the time of buyout except for Paid in Full (PIF) members.
Members must be in good standing at time of requested buyout and any and all dues, late fees, service fees, or any other outstanding debt whatsoever owed to the STUDIO must be paid in full at the requested time of buyout. In order to buyout out of the agreement, 50% of the remaining balance, plus applicable taxes, must be paid at the time of buyout for all financed memberships. If any of the terms of this paragraph are not met in their entirety, the buyout will not be executed. For PIF members the studio will refund 50% of the pro-rated amount after applicable taxes.
The STUDIO retains the right to cancel or suspend the membership of any person for any reason. If such cancellation or suspension is made due to violation of the STUDIO policies, violation of terms of this contract, or due to damage rendered by you or your guests, you will remain responsible for the financial obligations of this contract as well as a $50 cancellation fee. In the case where the facility or its contents are damaged, you will furthermore be responsible for the repair or replacement thereof.
Any payments due prior to cancellation taking effect will still be due and payable. Your account must be current before any cancellation will take effect. To cancel for any of the above reasons, send or deliver a written notice to the STUDIO or to the Designated Billing Company.
10. CANCELLATION REFUND POLICIES
After receipt of a written notice of cancellation, the studio shall provide a refund to the buyer within thirty days. The health studio may require the buyer to return any membership card or other materials which evidence membership in the studio. The buyer is entitled to a refund and relief from future obligations for payments of initiation or membership fees and use fees or dues as follows:
1 The buyer is entitled to a refund of the unused portion of any prepaid use fees or dues and relief from future obligations to pay use fees or dues concerning use after the date of cancellation.
A Subject to (B) of this subsection, if a contract includes a one-time only initiation or membership fee and the buyer cancels due to death or disability, the buyer is entitled to a pro rata refund of the fee less a predetermined amount not to exceed one-half of the initial initiation or membership fee if the contract clearly states what percentage of the fee is nonrefundable or refundable.
B If a contract includes a one-time only initiation or membership fee and the buyer cancels due to death or disability three years or more after the signing of the contract requiring payment of such fee, such fee is nonrefundable.
2 If a contract includes an initiation or membership fee and the buyer cancels pursuant to relocation, the buyer is entitled to a pro rata refund of the fee less a predetermined amount not to exceed one-half of the initial initiation.

11. Auto Renew
Provided that MEMBER is not in default of this agreement and subject to the terms and conditions hereof, the membership will automatically renew at the rate indicated in their membership above, which rate also includes the Space BAR Wellness Coaching App membership fee. Renewal terms may be canceled at any time provided a 30-day written notice is delivered to the STUDIO’S address or email. It is also understood that the STUDIO has the option to increase 4 Week renewal dues without notice during any renewal period not to exceed $10.00 per month.
12. ADDITIONAL TERMS AND CONDITIONS
DEFAULT AND LATE PAYMENTS
Should you default on any payment obligation as called for in this agreement, the STUDIO will have the right to declare the entire remaining balance due and payable and you agree to pay allowable interest, and all costs of collection, including but not limited to collection agency fees, court costs, and attorney fees. A default occurs when any payment due under this agreement is more than ten days late. Should any 4 week payment become more than ten days past due, you will be charged a late fee. An additional service fee will be charged for any check, draft, credit card, or order returned for insufficient funds or any other reason. If the MEMBER is paying 4 Week dues by Electronic Funds Transfer (EFT), the STUDIO reserves the right to draft via EFT all amounts owed by the MEMBER including any and all late fees and service fees. Subject to appropriate State and Federal Law. (NOTE: MEMBERs paying 4 Week dues by EFT are subject to $10.00 per month increase of 4 Week dues if EFT payment is stopped or changed to a coupon book. This will not affect any other provisions of this agreement.)
SALES TAX
Notwithstanding any other provisions of this Agreement, you understand and agree that the amount of your 4 Week membership dues is based on current sales tax rates and to the extent such rates should increase during your membership, the STUDIO has the right to increase your 4 Week membership dues by the amount of such increase. If you have requested the privilege of paying your 4 Week dues by pre-authorized electronic funds transfer, the 4 Week amount so transferred will be adjusted to reflect any increase in the sales tax rate.
RIGHT TO CHANGE DESIGNATED BILLING COMPANY
The STUDIO hereby reserves the right to change the Designated Billing Company at their discretion and without warning. If such a change is made, the full terms and conditions of this agreement will continue to apply and you agree to authorize the new Designated Billing Company to continue drafting your account.
NOTICE
ANY HOLDER OF THIS AGREEMENT IS SUBJECT TO ALL CLAIMS AND DEFENSES WHICH THE DEBTOR COULD ASSERT AGAINST THE SELLER OF GOODS OR SERVICES OBTAINED PURSUANT HERETO OR WITH THE PROCEEDS HEREOF, RECOVERY HEREUNDER BY THE DEBTOR SHALL NOT EXCEED AMOUNTS PAID BY THE DEBTOR HEREUNDER.
MEMBERSHIP FREEZE POLICY
You can Freeze your membership for up to 8 weeks. However, your credits aren't available be used during a freeze. All credits on your account are lost with the cancellation of your membership.
MAINTENANCE OF FACILITIES
The STUDIO may be temporarily closed for periods of up to 2 weeks each year for maintenance purposes. The STUDIO reserves the right to add a periodic facility maintenance charge. If a Facility Maintenance Charge is implemented in the future, you will be given a minimum of a 60 day notice of the amount owed and due date. You authorize the Designated Billing Company to automatically draft this amount along with your regular membership dues.
MEMBER OBLIGATIONS
(1) MEMBER agrees to abide by all STUDIO policies, follow the directions of the staff regarding safety and security issues, and to treat the staff and other MEMBERs with courtesy. (2) MEMBER agrees to pay 4 Week dues on time, including notifying the STUDIO promptly if banking or credit card information used for automatic payment changes, or to be charged a declined payment fee and/or a late fee per delinquent payment. (3) MEMBER agrees to pay all costs of collection incurred by the holder of this agreement if this account becomes more than 60 days past due. (4) MEMBER agrees to continue to fulfill the financial obligation of this agreement, except as allowed below.
SUMMARY OF MEMBERSHIP POLICIES
1 MEMBER, by executing this Agreement, does hereby join the STUDIO and such membership entitles the MEMBER to use the facilities. The MEMBER is entitled to use the facility only and MEMBER shall be required to provide MEMBER’s own clothes.
2 MEMBER agrees to abide by all membership regulations of the STUDIO. MEMBER agrees to comply with stated and customary rules for participation and use of equipment. Unless canceled as provided in this Agreement, MEMBER will be responsible for all payments due and owing under this Agreement, even if MEMBER does not use the STUDIO’S facilities and services. However, in the event of death or disability, liability for fees will terminate as of the date of death or disability. If the STUDIO becomes temporarily unavailable due to an event such as fire, flood, loss of lease, or the like, we will extend the MEMBER’s membership privileges for the period the facilities were unavailable.
3 If MEMBER violates this Agreement and the terms contained therein or any of the rules and regulations for use of the facility, the STUDIO may suspend the MEMBER’s right to use the facility until such time as the MEMBER provides the STUDIO with reasonable assurance of future compliance. During the period of any such suspension, the MEMBER shall not be entitled to a credit for any prepayment of dues or other fees due or paid pursuant to this Membership Agreement. In the event MEMBER continues to violate the terms of this Agreement or the rules and regulations governing the facility, the MEMBER’s membership may be terminated by the STUDIO, and the balance of the contract declared due and payable in full immediately.
4 MEMBER agrees that he/she shall not engage in any type of commercial or business activity while using the facilities. If MEMBER engages in such commercial or business activities MEMBER’s membership shall be subject to immediate cancellation and the balance of the contract declared due and payable in full immediately.
6 MEMBER agrees that MEMBER shall abide by the STUDIO dress code at all times while in the facility.
7 MEMBER agrees that MEMBER shall not use loud or profane language upon the STUDIO premises nor shall MEMBER molest, badger, assault or harass other STUDIO MEMBERs, guests or employees. If MEMBER engages in such behavior, MEMBER’s membership shall be subject to immediate cancellation, and the balance of the contract declared due and payable in full immediately.
8 MEMBER understands that the STUDIO prohibits the use of any drugs or alcohol and MEMBER agrees not to use any drugs or alcohol on the STUDIO premises. MEMBER recognizes and acknowledges that there are serious criminal and civil penalties for the illegal possession, sale, use, trading, or exchange of drug and no such activity is allowed upon STUDIO premises.
9 MEMBER understands MEMBER may be photographed at the STUDIO. By execution of this Agreement, MEMBER agrees to allow MEMBER’s photo, video or film likeness to be used for any legitimate purpose by the STUDIO and by Space BAR Wellness, LLC, and their respective producers, sponsors, organizers and/or assigns, in their discretion. MEMBER acknowledges that by signing this Agreement, MEMBER gives up all claims of ownership, income, editorial content, and use of such media, and assigns all copyright ownership to Space BAR Wellness, LLC.
10 MEMBER agrees that if MEMBER fails to use the STUDIO facilities that shall not release the MEMBER from the obligation to make all payments required by the terms of this Membership Agreement.
11 Arbitration: All disputes (except small claims under $1,000) will be settled by binding arbitration before a single arbitrator under the authority of the Federal Arbitration Act, conducted by and in accordance with the rules and procedures of the American Arbitration Association. The arbitration will take place in the county in which this STUDIO is located unless otherwise agreed. All arbitration proceedings must be made by an individual claimant, and will not be conducted on a “class” basis. The decision of the arbitrator must be a reasoned award. The decision of the arbitrator will be final and binding on all parties and may be enforced by a judgment entered upon the arbitration award by any state or federal court in this state. Any award from the arbitrator may be appealed under the Appellate Arbitration Rules of the American Arbitration Association.
12 Should this Agreement be placed in the hands of an attorney for the violation of any provision contained herein, the parties agree the STUDIO shall be entitled to recover all costs and expenses resulting there from, including a reasonable amount as attorney’s fees.
13 The parties hereby agree that the whole agreement between the parties relating to the subject matter hereof is contained in this Agreement and shall supersede any prior understandings, arrangements, commitments, or undertakings of the parties, whether written or oral, express, or implied.
14 This Agreement may not be amended or modified except by an instrument in writing executed by the parties hereto.
15 MEMBER authorizes the STUDIO, Space BAR Wellness, LLC, and their authorized designees to contact them by email, telephone, or by other means. Subject to applicable law, Member agrees that any of these parties may contact Member at any mailing address, phone number or e-mail address set forth on the face of this agreement, or any other address subsequently provided to, or obtained by, any such party. A copy of the privacy policy of Space BAR Wellness can be found at http://www.spacebarwellnessl.com/privacy-policy.
By signing this agreement, MEMBER hereby consents to receive autodialed and/or pre-recorded telemarketing calls and/or text messages from or on behalf of the STUDIO, Space BAR Wellness, LLC, and/or their authorized designees, and MEMBER understands that such consent is not a condition of purchase.
16 The STUDIO retains the right to modify these policies without warning. Reasonable rules and regulations may be posted in the Membership Guide or at the STUDIO from time to time and all MEMBERs shall be subject to strict compliance therewith. The most current copy of the Membership Guide can be found at the STUDIO or at the STUDIO’S website.
Safety Notices
• This facility is under 24-hour recorded video surveillance, which may be retained by the STUDIO for subsequent review, and MEMBER access usage is logged.
• MEMBER may not bring in guests at any time without the consent of the facility staff. Furthermore, if this policy is violated, at the sole discretion of the facility management, the MEMBER may be charged a guest fee and/or have their membership suspended or canceled, the balance of the contract declared due and payable in full immediately, and be assessed a penalty of up to $250.00. Violating this policy carries the same penalties as violating the guest policy.
• MEMBER has access to a free orientation to the facility and the proper use of all equipment. It is the MEMBER’s responsibility to request this orientation.
• MEMBER is required to use the safety features of the equipment. If you are unsure of how to use equipment, you should obtain instructions from the staff.
• Horseplay, vulgar language, abuse of the equipment, using services while intoxicated, or other inappropriate behavior will not be tolerated and may result in the suspension or cancellation of the MEMBER’s membership, and the balance of the contract being declared due and payable in full immediately.
• Age Requirements – Persons under the age of 18 are not permitted in the STUDIO without parental consent.
Authorization for Preauthorized Payments (Promise To Pay)
I/We hereby authorize the Designated Billing Company selected by this STUDIO to draw items (checks, electronic fund transfers, charge card) for the purpose of paying the membership dues, including any late fees or service fees, as well as other purchases, on the account indicated below. Subject to the following conditions:
1 The items shall be drawn on or about the date or dates of the Payment Plan. The transactions on your bank statement will constitute receipts for payment on your account.
2 If the regular payments set forth on the Payment Plan should vary in amount, you are entitled to receive notice at least 10 days before the payment is due, when it will be made and how much it will be. However, by executing this preauthorization, you choose to instead get this notice only when the payment would differ by more than $50.00 from the most recent payment.
3 By executing this agreement, you acknowledge your awareness that certain disclosures required by the Electronic Funds Transfer Act and its regulations are available for review with your bank.
4 The privilege of making payments under this arrangement may be revoked by the Company if any item is not paid upon presentation.
5 If this preauthorization payment arrangement is revoked for any reason, this does not release you from your obligation (Payment Plan).
6 A service fee will be assessed and drafted for any check, draft, credit card, or order returned for insufficient funds or any other reason. A late fee will be assessed and drafted should any 4 Week payment become past due.
7 This preauthorization payment arrangement shall apply to the Applicant(s) list on this agreement.
Photo Approval
MEMBER understands MEMBER may be photographed at the STUDIO. By execution of this Agreement, MEMBER agrees to allow MEMBER’s photo, video or film likeness to be used for any legitimate purpose by the STUDIO and by Space BAR Wellness, LLC, and their respective producers, sponsors, organizers and/or assigns, in their discretion. MEMBER acknowledges that by signing this Agreement, MEMBER gives up all claims of ownership, income, editorial content, and use of such media, and assigns all copyright ownership to Space BAR Wellness, LLC.
Space BAR Wellness (Coaching App)
Space BAR Wellness is the official wellness coaching app for Space BAR Wellness members. As part of your studio membership, you will have full access to online tools and information that will help you achieve your fitness, diet, and wellness goals. You will also have access to an online community where you can get expert answers to your questions and support from a global network of members.
Risk and Release
I understand the risk of injury from STUDIO activities and using any STUDIO equipment is significant, including the potential for death, I KNOWINGLY AND FREELY ASSUME ALL SUCH RISKS, both known and unknown. I acknowledge I assume all risks associated with using equipment and other products and machines and utilizing services alone without the aid and presence of STUDIO staff on the premises. I HEREBY RELEASE, INDEMNIFY, AND HOLD HARMLESS Space BAR Wellness, LLC AND ITS AFFILIATES, as well as all sponsors and advertisers, and all owners and lessors of the premises of such studios, and their respective officers, affiliates, agents and employees WITH RESPECT TO ANY AND ALL INJURY, DISABILITY, DEATH, LOSS OR DAMAGE to person or property that may arise out of or in connection with my use of any of the equipment products and machines or the facilities of the STUDIO, of any other Space BAR Wellness studio, or any incident that occurs while using such facilities, or otherwise related to my membership.
I expressly agree that this release is intended to be as broad and inclusive as permitted by applicable law and if a portion of this release is held invalid, the balance shall remain in full force and effect. This release shall apply to my heirs, assigns, personal representatives and any other next of kin. I understand that the STUDIO is relying on this release in agreeing to enter into this Agreement.
I HAVE READ THE RELEASE OF LIABILITY AND ASSUMPTIONS OF RISK AGREEMENT, FULLY UNDERSTAND ITS TERMS AND THAT I HAVE GIVEN UP SUBSTANTIAL RIGHTS BY SIGNING IT, AND SIGN IT FREELY AND VOLUNTARILY WITHOUT ANY INDUCEMENT.
